lastminute.com is looking for a Corporate Affairs Specialist for its Legal & Corporate Department team based in Chiasso.
managing of board and shareholders meetings for each subsidiary of lm group (e.g. call notices, minutes and filing);
liaising with foreign consultant for the relevant activity regarding the subsidiaries based worldwide;
drafting of powers of attorney/proxies and confidentiality agreements;
assistance to internal and external auditors/advisors involved in specific corporate transactions (e.g. M&A, due diligence, new-co incorporations, shares/assets deals etc.);
cooperation with finance dept. for annual accounts approval processes;
managing of anti-money laundering directive representations;
coordination of related parties mapping process and any activity linked to SIX Swiss Exchange fulfilments, e.g. insider trading regulations and code of conduct rules.
Skills and Experience
at least 2-year experience in corporate affairs at a law firm and/or structured company
Fluent in English and Italian language
Thorough and meticulous with extreme attention to detail
Proactive team player
Self-motivated, tenacious, uses initiative and problem solver
Work to tight deadlines with a can-do attitude
